  (1) Represents 149,637,448 shares of the registrant’s common stock registered for resale by the selling securityholder named in this registration statement, consisting of (i) up to 100,000,000 shares of common stock that may be issued pursuant to the Initial Debenture (as defined in the Prospectus) in an aggregate principal amount of $26,595,745, and (ii) shares of common stock that may be issued pursuant to the Initial Warrant (as defined in the Prospectus) to purchase 49,637,448 shares of common stock at an exercise price of $0.5358.
